Management Profit Sharing Plan. As a condition precedent to the acquisition of the Management Shares hereunder, the Management Profit Sharing Plan shall become effective as of the Effective Time. If the Management Profit Sharing Plan does not become effective as of or substantially concurrent with the Effective Time, this Agreement shall become null and void ab initio and have no effect, and all rights and obligations of the parties hereunder shall automatically terminate.
