Management Shareholder's Termination. In the event a Management Shareholder is terminated for cause, as defined in such Management Shareholder's employment agreement, or a Participating Shareholder voluntarily terminates his employment with the Company prior to December 31, 1999 in the case of the First Additional Payment or December 31, 2000 in the case of the Second Additional Payment, such Participating Shareholder shall not participate in any such Payment made after the date of such termination.
