Common use of Manager Approval Required Clause in Contracts

Manager Approval Required. Each Subservicing Agreement and JDC Agreement, and all Modifications thereto, and the selection of the Subservicer (regardless of whether the Subservicer is an Affiliate of the Servicer) or JDC Contractor is subject to the prior written approval of the Manager (which approval will not be unreasonably withheld, delayed or conditioned so long as the provisions required under Section 4.2 are not modified or deleted). A copy of all Subservicing Agreements and JDC Agreements, as executed and delivered and all amendments thereto, will be provided to the Manager and the Initial Member.
