Manager Meetings. The Managers of the Company may hold meetings either within or without the State of Louisiana.
Manager Meetings. The Buyer Manager and the Operations Manager will serve as each Party’s main contact to, and for, the other Party with regard to day-to-day matters affecting the Parties’ relationship in relation to Installation Services and Facility Services. The Buyer Manager and the Operations Manager (or their designees) will meet, by phone or in person, as often as they feel necessary to monitor and manage such day-to-day activities. Such managers shall operate by consensus to the extent practicable but shall have no authority to amend or waive compliance with the terms and conditions of this Agreement, or to approve actions of the Parties that are inconsistent with this Agreement. Any such waivers or amendments shall be implemented only as described in Section 14.1 or Section 14.2, as the case may be.

Manager Meetings. The parties shall meet periodically [***] at meetings to be organized by the OptiNose Supply Relationship Manager and the Ximedica Supply Relationship Manager to discuss, agree upon, and oversee implementation of initiatives to plan Capacity and OptiNose Equipment requirements, improve the LDSA manufacturing process to improve quality and to reduce cost and price for the benefit of both parties. Participants in such meetings will be agreed to by the parties. For each such agreed initiative, the parties shall agree on the capital and expense to implement the initiative, the party to provide funds for such capital and expense, the expected cost savings to result, and an equitable sharing of the cost and other benefits from the initiative after recoupment of the funds provided for the initiative (which sharing shall take into account a reasonable return on investment for the party providing the funds to implement such initiative).
Manager Meetings. The Managers may hold meetings, both regular and special, either within or without the state of the Company’s principal place of business. Regular meetings of the Managers may be held without notice at such time and at such place as shall from time to time be determined by the Managers. Special meetings of the Managers may be called by a Manager on one (1) day’s notice to each Manager, either personally or by mail or by telegram. At all meetings of the Managers, a majority of the Managers shall constitute a quorum for the transaction of business, and the act of majority of the Managers present at any meeting at which there is a quorum shall be the act of the Managers. Any action required or permitted to be taken at any meeting of the Mangers may be taken without a meeting if the Managers who have the necessary votes to take such action consent in writing.

The parties shall meet periodically [***] at meetings to be organized by the OptiNose Supply Relationship Manager and the VTM Supply Relationship Manager to discuss, agree upon, and oversee implementation of initiatives to plan Capacity and OptiNose Equipment requirements, improve the DSA manufacturing process to improve quality and to reduce cost and price for the benefit of both parties. Participants in such meetings will be agreed to by the parties. For each such agreed initiative, the parties shall agree on the capital and expense to implement the initiative, the party to provide funds for such capital and expense, the expected cost savings to result, and an equitable sharing of the cost and other benefits from the initiative after recoupment of the funds provided for the initiative (which sharing shall take into account a reasonable return on investment for the party providing the funds to implement such initiative). Additionally, promptly following the execution of this Agreement, the parties shall use [***] to agree upon reporting metrics, which shall include but are not limited to [***].
Manager Meetings. At the request of Flags, the president ----------------- and/or general manager and chief financial officer of the Amusement Park or Flags II and, upon the request of Flags to the president, general manager or, in the absence of either of them, the senior-most executive at the Amusement Park, such other Flags II, Amusement Park and SFOG II Employee management and employees as Flags II may request will, at a mutually convenient time, meet with Flags or its representatives at the Amusement Park to discuss matters relating to the Amusement Park and Flags II specified by Flags or its representatives. SFEC, SFOG II and SFOG II Employee will, and will cause Flags II to, use their respective best efforts to cause Amusement Park management and employees to comply with the foregoing.

The Owner Manager and the Operations Manager (or their designees) will meet, by phone or in person, as often as they feel necessary to monitor and manage such day-to-day activities. Such managers shall operate by consensus to the extent practicable but shall have no authority to amend or waive compliance with the terms and conditions of this Agreement, or to approve actions of the Parties that are inconsistent with this Agreement. Operator will not be relieved of any obligations to perform in accordance with this Agreement by its performance or failure to perform pursuant to any direction verbally or in writing provided by the Owner Manager.

Such managers shall operate by consensus to the extent practicable but shall have no authority to amend or waive compliance with the terms and conditions of this Agreement, or to approve actions of the Parties that are inconsistent with this Agreement. Any such waivers or amendments shall be implemented only as described in Section 12.1 or Section 12.2, as the case may be. Seller will not be relieved of any obligations to perform in accordance with this Agreement by its performance or failure to perform pursuant to any direction verbally or in writing provided by the Buyer Manager. This Agreement may only be amended under Sections 12.1 or 12.2 by a written agreement executed by authorized officers of the Parties.
Manager Meetings. Xxxxxxxxx shall be entitled to attend all meetings of the Managers of the Company in a non-voting, observer capacity; provided, that the Managers may exclude Zuccarini from any portion of a meeting if the Managers believes in good faith that such exclusion is reasonably necessary for the effective management of the Company or to preserve the confidentiality or privileged nature of certain information.
