MANAGER, MEMBERS AND CAPITAL. 3.1 Manager. 3.1.1 The Company shall be managed by the Manager. The Manager of the Company will be responsible for the day-to-day operations of the Company. The Manager shall also be a Member. 3.1.2 The business plan of the Company, the hiring and retention of employees of the Company, and the creation of the annual budget of the Company shall be the responsibility of the Manager.
