Manager or Operator Failure. If an Event of Default or Manager Termination Event shall arise from the failure of the Manager or any Operator to perform any of its duties or obligations under the Management Services Agreement or the Joint Operating Agreement, as applicable, the Issuer shall take all reasonable steps available to it to remedy such failure.
