Manager Personnel. The Manager shall authorize and permit any of its directors, officers and employees who may be elected or appointed as Trustees or officers of the Trust to serve in the capacities in which they are elected or appointed. Services to be furnished by the Manager under this Agreement may be furnished through the medium of any of such directors, officers, or employees.

Manager Personnel. The Manager shall authorize and permit any of its directors, officers and employees who may be elected or appointed as Trustees or officers of the Trust to serve in the capacities in which they are elected or appointed. Services to be furnished by the Manager under this Agreement may be furnished through the medium of any of such directors, officers or employees. The Manager shall make its directors, officers and employees available to attend Trust Board meetings as may be reasonably requested by the Board from time to time. The Manager shall prepare and provide such reports on the Funds and their operations as may be reasonably requested by the Board from time to time. The Manager shall implement Board-approved proxy voting policies and procedures, and shall respond to corporate actions taken by issuers of the Fund’s portfolio holdings consistent with its fiduciary duty to the Funds.
Manager Personnel. (a) In the performance of Property Manager’s duties hereunder, Property Manager may engage or utilize certain entities or persons (including, without limitation, DDR Corp., an Ohio corporation (“DDR”), and its Affiliates and employees thereof) to perform various tasks for the Properties at the expense of Property Manager; provided, that such services which are performed by persons engaged, utilized or retained to perform services at the Properties, including, but not limited to, those persons or positions identified on Exhibit C attached hereto (“Manager Personnel”) shall be at Owners’ expense; provided, further, that such expenses shall be in accordance with each Approved Budget. Property Manager shall identify in the same manner those additional persons or categories of individuals whose salaries, from time to time in accordance with the Approved Budget or otherwise with the prior written consent of Owners, may be charged to each Property for direct services rendered to each Property based on the actual amount of time worked by such persons or categories of individuals for such Property. The persons and/or categories of individuals whose salaries are eligible to be charged are identified on Exhibit C. Exhibit C may be amended or supplemented from time to time with the prior written consent of Owners. If any such person does not provide services exclusively for the Property, then an equitable portion of the wages, bonuses, benefits, taxes and travel expenses (if any) of such person(s) and office overhead or Property Manager’s satellite offices based on the actual amount of time worked by such persons for the Property and, in the case of office overhead, based on the number of properties operated out of such office, shall be at Owners’ expense. Property Manager agrees that such allocation and any allocation of third-party expenses will be done utilizing the same hourly time-based methodology as used in other community centers managed by Property Manager and on a consistent and fair basis.
Manager Personnel. If Manager shall reasonably deem it advisable, it shall assign the general manager, the controller and other members of the Executive Staff of the Hotel from the employees of Manager and its Affiliates or from the staff of Other Managed Hotels. All such employees will be paid their regular Compensation, such Compensation to be paid by the Hotel, or if Manager deems it advisable, by Manager, in which case Manager will be reimbursed by Lessee therefor as provided in Section 4.07.

Grow, or in the event either is no longer employed by Manager, similarly qualified employees, shall be involved in all aspects of the Services to be provided by Manager under this Agreement, including, without limitation, operational, accounting, and financial related Services.
Manager Personnel. Provided that Manager is Operating the Resort in accordance with the Operating Standard and is otherwise in compliance in all material respects with all of the terms and conditions of this Agreement, Manager shall have the right to allocate the services and time of any Operating Personnel between the Manager Operated Areas and (a) Other Managed Resorts, and/or (b) the local, regional or central office(s) of Manager, its Parent Company and their respective Affiliates. In addition, Manager may assign its (or its Affiliates’) employees from Other Managed Resorts or from its corporate offices to the Resort.

Manager Personnel. (a) Manager shall provide to the Clinic the services of an Executive Director, a Controller and an Analyst, each of whom will be employed by Manager during the term of this Agreement. Manager may employ such additional administrative personnel as Manager deems necessary in providing its services under this Agreement. The Manager must obtain the prior approval of the Policy Board and the Chief Executive Officer of RHS before hiring the Executive Director or the Executive Director's replacement. All compensation and benefit expenses, including, but not limited to, workers compensation, social security, withholding, and payroll taxes, and the payment of all salary, vacation travel and out-of-pocket expenses and other employee benefits of all such employees of Manager will be the sole responsibility of Manager and/or PhyCor. Manager shall determine solely the amount and nature of all compensation payable to such employees of Manager and shall have the sole discretion in selecting such personnel (other than the Executive Director as provided for above) and terminating the employment of any of its personnel; provided, however, if Manager elects, in its sole discretion, to terminate an Executive Director in response to the request of RHS or the Clinic, RHS shall reimburse to Manager 50% of any severance expenses incurred by Manager as a result of such termination. At the direction, supervision and control of Manager, the Executive Director, subject to the terms of this Agreement, shall implement the policies established from time to time by the Policy Board. The Executive Director shall be responsible for organizing the agenda for the meetings of the Policy Board and for carrying out, on a day-to-day basis, activities based on the Work Plan and the directives of the Policy Board and the Chief Executive Officer of RHS, as applicable. The Controller and Analyst shall report directly to the Executive Director. RHS or the Clinic, as applicable, shall provide such reasonable and appropriate secretarial and support staff personnel, at the sole expense of RHS or the Clinic, as applicable, necessary to enable the Executive Director, Controller and Analyst and such additional personnel of Manager, if applicable, to perform their duties and responsibilities under this Agreement.
Manager Personnel. Manager agrees to assign an adequate number of Manager Personnel to perform the Services. All Manager Personnel will be, in Manager’s good faith belief, properly trained and fully qualified to perform the Services they are to perform.
Manager Personnel. Manager may temporarily assign its (or its Affiliates') employees from other hotels or from its corporate offices to act as an Executive Staff member, or with respect to other managerial positions of the Hotel. Manager shall allocate the Employment Costs of such personnel to the Hotel in proportion to the time and services rendered to the Hotel by the personnel.
