Managers and Officers of the Surviving Entity. From and after the Effective Time, the managers and officers of Merger Sub shall be the managers and officers of the Surviving Entity, in each case, until the earlier of their death, resignation, removal or until their respective successors are duly elected and qualified in accordance with the Surviving Entity’s Certificate of Formation and the Limited Liability Company Act.
Managers and Officers of the Surviving Entity. From and after the Subsequent Effective Time, until successors are duly elected or appointed and qualified in accordance with Applicable Law, (a) the managers of Merger Sub II at the Subsequent Effective Time shall be the managers of the Surviving Entity and (b) the officers of the Initial Surviving Entity immediately prior to the Subsequent Effective Time shall be the officers of the Surviving Entity.
Managers and Officers of the Surviving Entity. (a) Subject to applicable Law, at the Effective Time, the sole member of Merger Sub immediately prior to the Effective Time shall continue to be the sole member of the Surviving Entity.
Managers and Officers of the Surviving Entity. As of the Effective Time, any managers of Merger Sub, at the Effective Time, shall be the managers of the Surviving Entity until their successors have been duly elected and qualified or until their earlier death, resignation or removal in accordance with the Constituent Documents of the Surviving Entity. As of the Effective Time, the officers of Merger Sub, at the Effective Time, shall, from and after the Effective Time, be the officers of the Surviving Entity until their successors have been duly appointed and qualified or until their earlier death, resignation or removal in accordance with the Constituent Documents of the Surviving Entity.
Managers and Officers of the Surviving Entity. From and after the Effective Time, the managers and officers of Acquisition Sub shall be the managers and officers of the Surviving Entity, and such managers and officers shall serve until their successors have been duly elected or appointed (in the case of officers) and qualified, or until their death, resignation or removal from office in accordance with the Surviving Entity’s organizational documents.
Managers and Officers of the Surviving Entity. Subject to applicable Law, at the Effective Time, the (i) members of the board of managers of Merger Sub immediately prior to the Effective Time shall be the members of the board of managers of the Surviving Entity, and (ii) the officers of Merger Sub immediately prior to the Effective Time shall be the officers of the Surviving Entity, in each instance, to hold office in accordance with the certificate of formation and limited liability company agreement of the Surviving Entity, as in effect at the Effective Time.
Managers and Officers of the Surviving Entity. Unless otherwise determined by Parent prior to the Second Effective Time, the managers of Merger Sub II immediately prior to the Second Effective Time shall be the managers of the Surviving Entity immediately after the Second Effective Time, each to hold the office in accordance with the provisions of the Delaware LLC Act and the certificate of formation and limited liability company agreement of the Surviving Entity until their successors are duly elected or appointed and qualified or their earlier death, resignation or removal. Unless otherwise determined by Parent prior to the Effective Time, the officers of Merger Sub II immediately prior to the Second Effective Time shall be the officers of the Surviving Entity immediately after the Second Effective Time, each to hold office in accordance with the provisions of the Delaware LLC Act and the limited liability company agreement of the Surviving Entity.
Managers and Officers of the Surviving Entity. The managers and officers of the Merger Subsidiary immediately prior to the Effective Time shall be the initial managers and officers of the Surviving Entity, each to hold office in accordance with the Certificate of Formation and Limited Liability Company Agreement of the Surviving Entity.
Managers and Officers of the Surviving Entity. The Persons set forth on Exhibit A shall be the initial manager and officers (as applicable) of the Surviving Entity, each to hold office in accordance with the Surviving Entity’s Governing Documents until such Person’s successor is duly elected or appointed and qualified, or until the earlier of their death, resignation or removal.
Managers and Officers of the Surviving Entity. Parent shall be the Managing Member (as defined in the Surviving Entity LLC Agreement) of the Surviving Entity. The officers of the Surviving Corporation immediately prior to the Second Effective Time shall be the officers of the Surviving Entity immediately after the Second Effective Time, each to hold office in accordance with the Surviving Entity Certificate of Formation and the Surviving Entity LLC Agreement until such officer’s successor is duly elected or appointed and qualified.
