Managers as Agents. To the extent of their powers set forth in this Agreement, the Managers are agents of the Company for the purpose of the Company’s business, and the actions of the Managers taken in accordance with such powers set forth in this Agreement shall bind the Company.

Notwithstanding the last sentence of Section 18-402 of the Act, except as provided in this Agreement, a Manager may not bind the Company.

However, except as provided in this Agreement or authorized by the Board, no Manager shall have the authority to bind the Company in his or her individual capacity. Any and all actions of the Board must be taken at a duly authorized meeting of the Board or upon unanimous written consent of the Board.

To the extent of their powers as provided in or pursuant to this Agreement, the Managers of the Company are agents of the Company for the purpose of the Company’s business, and the actions of the Managers taken in accordance with such powers shall bind the Company. No Manager acting alone may bind the Company, however, the last sentence of Section 402 of the DLLC Act notwithstanding.
Managers as Agents. To the extent of their powers set forth in this Agreement, Class 1 Managers and Class 2 Managers (collectively referred to in this sub-section as “Managers”) are agents of the Company for the purpose of the Company’s business, and the actions of the Managers taken in accordance with such powers set forth in this Agreement shall bind the Company.

The Managers shall have only those powers and shall perform only those actions as may be authorized or delegated by Consent of the Members, and in such event the Managers shall be agents of the Company for the purpose of the Company’s business, and the actions of the Managers taken in accordance with such powers shall bind the Company. Notwithstanding the last sentence of Section 18-402 of the Delaware Act, except as provided in this Agreement, a Manager may not bind the Company. 6.2
Managers as Agents. To the extent of their powers set forth in this Agreement, the Managers are agents of the Company for the purpose of the Company’s business, and the actions of the Managers (or any Affiliate thereof that is authorized to act on behalf of any Manager) taken in accordance with such powers set forth in this Agreement shall bind the Company. Notwithstanding the last sentence of Section 18-402 of the Act, except as provided in this Agreement or in a resolution of the Board expressly authorizing such action which resolution is duly adopted by the Board by the affirmative vote required for such matter pursuant to the terms of this Agreement, a Manager may not bind the Company. All actions taken by a Manager in accordance with this Agreement shall be deemed to be taken solely in such Manager’s capacity as a Manager of the Company.
Managers as Agents. The Managers, to the extent of their powers set forth in this Agreement and subject to Section 10(a), are agents of the Company for the purpose of conducting the business and affairs of the Company, and the actions of the Managers taken in accordance with such powers shall bind the Company. Any third party dealing with any Manager shall be entitled to conclusively presume and rely upon (without making inquiry of any kind) any contracts, certificates, agreements, instruments or other documents executed and any other actions taken as being properly authorized by the Company.
