Manager’s Early Termination Right. In the event that, for any three consecutive calendar months during the Term, the Manager, by virtue of the availability of Net Revenues and the requirements of Section 6.1(c), fails to receive a fee in an amount equal to or greater than the Minimum Monthly Management Fee, then the Manager may terminate this Agreement by delivery of written notice to the Enterprise, and this Agreement will be terminated ninety (90) days after the delivery of any such written notice. For purposes of this Section 10.7, the Manager will have failed to receive a management fee (or portion thereof) to the extent that disbursement of such fee or portion thereof to the Manager is deferred until some future month or months.
