Common use of Managers’ Expenses and Fees Clause in Contracts

Managers’ Expenses and Fees. A Manager shall receive a management fee or other compensation for services rendered on behalf of the Company or in his capacity as a Manager as decided by affirmative vote of the Members holding a majority of the Membership Interests. The Company shall reimburse any Manager for reasonable out-of-pocket expenses which were or are incurred by the Manager on behalf of the Company with respect to the start-up or operation of the Company, the on-going conduct of the Company's business, or the dissolution and winding up of the Company and its business.
