Managing Board decisions. (i) Subject to the provisions of section 2.8(b)(ii), the Managing Board shall adopt its resolutions by unanimous votes cast. (ii) The Managing Board may also adopt resolutions without holding a meeting, provided such resolutions are adopted in writing, by cable, by telex or by telefax and all managing directors have expressed themselves in favour of the proposal concerned.
