Common use of Mandatory Advance Clause in Contracts

Mandatory Advance. Expenses (including attorneys’ fees) reasonably and actually incurred by the Indemnitee in investigating, defending, settling or appealing, or being or preparing to be a witness in, any action, suit or proceeding described in Section 1 or 2 hereof shall, subject to Section 15 hereof, be paid by the Company in advance of the final disposition of such action, suit or proceeding. The Company shall promptly pay the amount of such expenses to the Indemnitee, but in no event later than 30 days following the Indemnitee’s delivery to the Company of a written request for an advance pursuant to this Section 8, together with a reasonable accounting of such expenses, which shall include invoices received by Indemnitee in connection with such expenses.

Expenses To the extent permitted under applicable law, expenses (including attorneys’ fees, court costs, judgments, fines, amounts paid in settlement and other payments) reasonably and actually incurred by the Indemnitee in investigating, defending, settling or appealing, or being or preparing to be a witness in, appealing any action, suit or proceeding described in Section 1 or 2 hereof shall, subject to Section 15 hereof, shall be paid by the Company in advance of the final disposition of such action, suit or proceeding. The Company shall promptly pay the amount of such expenses to the Indemnitee, but in no event later than 30 10 days following the Indemnitee’s delivery to the Company of a written request for an advance pursuant to this Section 87, together with a reasonable accounting of such expenses, which shall include invoices received by Indemnitee in connection with such expenses.
