Mandatory Consent of the Lessor. The Lessee shall not assign the Lease or sublet the Leased Premises in whole or in part, nor suffer the Leased Premises to be utilised by another person (such utilisation being, for the purposes hereof, considered as a sublease) without the written consent of the Lessor, which consent may not be withheld without a serious reason.
