Mandatory Prepayment Upon Redemption. If Borrower shall receive a Redemption Request (as defined in Borrower’s Restated Certificate of Incorporation, as amended), Borrower shall immediately, and prior to any payment in respect of any such Redemption Request, pay to Bank an amount equal to the sum of (i) all outstanding principal and accrued but unpaid interest, plus (ii) the Prepayment Fee, plus (iii) the Growth Capital Final Payment, plus (iv) all other sums, including Bank Expenses, if any, that shall have become due and payable.
