Mandatory Purchase by the Company and Sale by Selling Stockholder. In the event that, upon the death of a Stockholder, the Company, the Investors, Select Stockholders and/or the other Stockholders in the aggregate do not exercise their options hereunder to purchase all of the Stock owned by the Selling Stockholder, the Company shall be obligated to purchase, and the Selling Stockholder shall be obligated to sell to the Company, all of the shares of the Common Stock of the deceased Stockholder not purchased pursuant to the options. Within ten days after the termination of the Founding Stockholders and the other Stockholders option under this section, the Selling Stockholder shall deliver a notice to the Company stating that not all of the deceased Individual Stockholder's shares of Common Stock have been purchased. Within 10 days from the receipt of such notice, the Company shall deliver a reply notice to the Selling Stockholder and such reply notice shall constitute an agreement binding upon the Selling Stockholder to sell and the Company to purchase the remaining shares of the deceased Stockholder at the price and upon the terms of the original Offering Notice of the Selling Stockholder sent to the Company under paragraph (a) of this Section 2.8, subject to the provisions of paragraph (f) of Section 2.1 hereof.
