Manner of Performance. Subject to the provisions of Article XII hereof, the Contractor shall perform all of the Work described in the Statement of Work, or cause such Work to be performed in an efficient and expeditious manner and in accordance with all of the terms and provisions of this Agreement. The Contractor shall perform the Work in accordance with the current professional standards and with the diligence and skill expected for the performance of work of the type described in the Statement of Work. The Contractor shall furnish such personnel and shall procure such materials, machinery, supplies, tools, equipment and other items as may reasonably be necessary or appropriate to perform the Work in accordance with this Agreement.
Manner of Performance a) The Contractor shall provide the Services described herein in a competent and professional manner satisfactory to the County in accordance with the terms and conditions of this Agreement. The County shall be entitled to a satisfactory performance of all Services described herein and to full and prompt cooperation by the Contractor in all aspects of the Services. At the request of the County, the Contractor shall promptly remove from the project any Contractor’s employee, subcontractor, or any other person performing Services hereunder. The Contractor agrees that such removal of any of its employees does not require the termination or demotion of any employee by the Contractor.
b) The Contractor agrees to defend, hold harmless and indemnify the County and shall be liable and responsible for any and all claims, suits, actions, damages and costs (including attorney's fees and court costs) made against the County, occurring on account of, arising from or in connection with the removal and replacement of any Contractor’s personnel performing services hereunder at the behest of the County. Removal and replacement of any Contractor’s personnel as used in this Article shall not require the termination and or demotion of such Contractor’s personnel.
c) The Contractor agrees that at all times it will employ, maintain and assign to the performance of the Services a sufficient number of competent and qualified professionals and other personnel to meet the requirements to which reference is hereinafter made. The Contractor agrees to adjust its personnel staffing levels or to replace any its personnel if so directed upon reasonable request from the County, should the County make a determination, in its sole discretion, that said personnel staffing is inappropriate or that any individual is not performing in a manner consistent with the requirements for such a position.
d) The Contractor warrants and represents that its personnel have the proper skill, training, background, knowledge, experience, rights, authorizations, integrity, character and licenses as necessary to perform the Services described herein, in a competent and professional manner.
e) The Contractor shall at all times cooperate with the County and coordinate its respective work efforts to most effectively and efficiently maintain the progress in performing the Services.
f) The Contractor shall comply with all provisions of all federal, state and local laws, statutes, ordinances, and regulations that are...
Manner of Performance. Seller shall perform the Services set forth on the face of the Contract. Seller shall employ persons who possess the skill and training required to properly perform the Services. Seller shall appoint a project manager, who shall be available at all times while the Services are in progress. The project manager shall be competent with experience in the type of Services being performed and capable of properly interpreting the Contract. The project manager shall have full authority to act upon instructions from Elk Ridge. Seller represents as of the date of the Contract to each of the following:
A. Seller has investigated and carefully examined the scope of the Services and understands the nature and character of the Services to be performed.
B. Seller and Seller Representatives have the relevant experience and specialized knowledge to perform the Services.
C. Seller is licensed under applicable state law to engage in the Services, it is in compliance with all laws and regulations applicable to the Services, and it is aware that Elk Ridge is relying on Seller’s skill and judgment in providing the Services to Elk Ridge.
D. Each Seller Representative that will be on the worksite is properly trained in compliance with applicable MSHA regulations.
E. The Services and other work performed by Seller do not infringe upon any copyright, patent, trade secret, or other intellectual property right of any third party, and Seller has neither assigned nor otherwise entered into an agreement (oral or written) by which it purports to assign or transfer any right, title, or interest in any technology or intellectual property right that would conflict with its obligations under the Contract.
Manner of Performance. Contractor shall perform all Services as set forth in the Contract Documents with that degree of skill, care and diligence customarily required of a professional performing services of comparable scope, purpose and magnitude in the Chicago area, and in conformance with the applicable professional standards. Contractor shall at all times use its best efforts on behalf of the Authority to assure timely and satisfactory rendering and completion of its Services. Contractor and all of Contractor’s employees or subcontractors performing Services under this Contract shall be qualified and competent in the applicable discipline or industry, shall be appropriately licensed as required by law, shall comply with all City of Chicago, State of Illinois, and federal laws applicable to the Services and shall conform to the terms of the Bid Documents and this Contract. Contractor remains responsible for the professional and technical accuracy of all Services and deliverables furnished, whether by the Contractor or others on its behalf. No review, approval, acceptance, nor payment for any and all of the Services by the Authority shall relieve the Contractor from its responsibilities. Contractor as Independent Contractor: Contractor as well as Contractor’s agents, employees and assigned personnel provided under this Contract are Independent Contractors. Under no circumstances shall any such entity or person represent themselves as employees of the Authority.
Manner of Performance. All Alterations must be performed: (i) in accordance with the approved plans, specifications and working drawings; (ii) in a lien-free and first-class and workmanlike manner; (iii) in compliance with all applicable permits, laws, statutes, ordinances, rules, regulations, orders and rulings now or hereafter in effect and imposed by any governmental agencies and authorities which assert jurisdiction; (iv) in such a manner so as not to interfere with the occupancy of any other tenant in the Building, nor impose any additional expense upon nor delay Landlord in the maintenance and operation of the Building; and (v) at such times, in such manner, and subject to such rules and regulations as Landlord may from time to time reasonably designate.
Manner of Performance. Notwithstanding the above, the Practice shall have no right to control the manner or method by which the Specialist performs the actual Dental Services and said dental treatment is the Specialist's sole responsibility. Notwithstanding the above, the Dental Services provided by the Specialist to the Practice's patients shall be reasonably satisfactory in all aspects to the Practice, shall meet or exceed industry and community standards for dental practice and treatment, and shall adhere to the protocol represented by the Specialist in the Case Statement. The Specialist shall be entirely and solely responsible for the Specialist's acts while engaged in providing Dental Services hereunder.
Manner of Performance. The Executive shall serve the Company and devote all his business time, his best efforts and all his skill and ability in the performance of his duties hereunder. The Executive shall carry out his duties in a competent and professional manner, to the reasonable satisfaction of the Board of Directors, Chief Executive Officer and/or President of the Company, shall work with other Executives of the Company and of its affiliates and generally promote the best interests of the Company and its customers. The Executive shall not, in any capacity engage in any activity which is, or may be, contrary to the welfare, interest or benefit of the business now or hereafter conducted by the Company or any of its affiliates.
Manner of Performance. Subject to the provisions of Article XII hereof, the Contractor shall perform all work (the "Work") necessary to carry out Task Work Orders issued by NYSERDA for the implementation of the Statement of Work, attached hereto as Exhibit A (including the furnishing of personnel and the procurement of equipment, supplies and other items necessary in connection therewith) and subject to the terms therein. The Work shall include on-site engineering assistance, training and materials, technical analysis and support, implementation assistance services, and other technical services as requested by NYSERDA. The Work shall be carried out with diligence and skill to the satisfaction of NYSERDA. The Contractor agrees to cooperate with NYSERDA in carrying out the Work, and to review and act upon NYSERDA recommendations, in order to assure the Work's expeditious and satisfactory conduct and completion. The Contractor also agrees to meet with NYSERDA at such times as NYSERDA may reasonably request, and at other times specified in Task Work Orders, to discuss the progress of the Work and any other matters that may arise.
Manner of Performance. Cause all construction called for by this Agreement to be carried out and performed in a good and workmanlike manner.
Manner of Performance. Consultant represents that Consultant has the requisite expertise, ability and legal right to render the consulting services, and will perform the consulting services in an efficient manner and in accordance with the terms of this Agreement. Consultant will abide by all laws, rules and regulations that apply to the performance of the consulting services and when on Company premises, will comply with Company's policies with respect to conduct of visitors.
