Common use of Manner of Voting Clause in Contracts

Manner of Voting. A Member of the Company may vote in person or by a proxy executed in Writing by the Member to another Member. A member of a committee of the Members may vote in person or by a proxy executed in Writing by the committee member to another committee member. Except as provided by this Section, a Member or committee member may not vote by proxy.
