Manufacturing Support. Upon request by Versicor, Lilly shall provide, at no cost to Versicor, reasonable access to appropriate and available manufacturing and information technology personnel for up to three hundred (300) person hours (during normal business hours) ("Manufacturing Support") for reasonable manufacturing process technical assistance and consultation that would enable Versicor and/or a third party manufacturer to reasonably employ the Licensed Patents and/or Licensed Technology in the manufacture of the Product; provided, however, that such Manufacturing Support shall be (i) provided over a time period not exceeding two (2) months in duration, commencing with the first date of engagement in such Manufacturing Support by Lilly personnel; and (ii) completed no later than August 31, 2000.

Manufacturing Support. (i) The Purchaser acknowledges that in order for the Seller to be able to continue manufacturing a certain product not included in the Business, the Seller will need to able to continue to purchasing from Magnus Molding a 15mm connector which Magnus Molding manufactures using a mold included in the Purchased Assets. Upon the Seller's request, the Purchaser agrees to issue a written consent to Magnus Molding instructing such vendor that the Seller may continue to purchase such 15mm connector from Magnus Molding. (ii) If prior to the Closing Date the Seller determines that it will require support from the Purchaser to manufacture extruded tubing and provide packaging services for the Seller's continued production of an inter-uterine manipulator not included in the Business, the Purchaser agrees to execute and deliver on the Closing Date a mutually acceptable supply agreement, pursuant to which the Purchaser would agree to supply such tubing and packaging to the Seller, at a price equal to the Seller's current standard cost of such items, plus ten percent (10%), for a term not to exceed six months. The parties agree that the terms and conditions of any such supply agreement would be substantially equivalent to the terms and conditions of the Manufacturing and Supply Agreement.
Manufacturing Support. Upon Zoran’s request, ArcSoft shall assist Xxxxx in setting up facilities and processes to manufacture, maintain and support the First IC Product, and any Related IC Product and/or New IC Product that ArcSoft requests that Xxxxx manufacture and that Xxxxx agrees to manufacture, at no further charge to Xxxxx.
Manufacturing Support. Upon the occurrence of a Release Event, and upon Zoran’s request, ArcSoft shall assist Xxxxx in setting up facilities and processes to manufacture, maintain and support the MaestroLink IC Products and/or Xxxxx Products. ArcSoft shall be compensated for such services on a time and material basis at ArcSoft’s then standard rates for such services charged to its most favored customers.
Manufacturing Support a. Prior to the commencement of any approved manufacturing effort in support of the workload being performed under this IA, Parties will develop and negotiate a work package which will set forth the nature and scope of the manufacturing effort to be performed. b. <Private Partner> will provide OC-ALC with essential information required to accomplish each individual manufacturing effort. <Private Partner> will provide OC-ALC appropriate condemned or non-serviceable components, if required, to verify accuracy of dimensions and placement of manufactured tools and/or equipment. <Private Partner>will provide disposition instructions for condemned or non-serviceable components.
Manufacturing Support. As specified in Appendix II, Engineering and Manufacturing Support, Exabyte agrees to provide to Plasmon manufacturing and engineering support to assist in Plasmon's manufacture of Product. Exabyte shall make available, at times mutually agreed to by the parties, Exabyte's engineering and manufacturing personnel for Plasmon's use and reference. After the initial transfer period set forth in Appendix II, Plasmon shall pay to Exabyte, Exabyte's then current engineering support fees as well as reasonable travel expenses, if any.
Manufacturing Support. Paradyne will provide the following manufacturing support to ABI: - Two (2) days of on-site support by a Test Engineer - For a 3 month period, 2 hours of scheduled phone support per week - During such 3 month period, Paradyne will exercise commercially reasonable efforts to provide E-mail and/or Voice-mail responses within 24 hours of receipt of inquiries from ABI's staff. - Paradyne will allow ABI to have access to the Hardware at - Paradyne's Largo facility and provide reasonable technical support to assist ABI in becoming familiar with and to test the Hardware, provided that this access will not exceed 3 consecutive days, will occur no later than 10 days after the CLOSING DATE, and will be at ABI's expense.

Manufacturing Support. Semitool through the Development Period will make available parts fabrication to further support the engineering support referred to above in Item 1 hereof, subject to available resources at Semitool’s Birch Grove Facility. Aviza will be billed for any such parts fabrication at no more than a *** gross margin over the cost of such parts.
Manufacturing Support. In consideration of OGP complying with its obligation to pay CyberOptics the one-time technology transfer fee as set forth in Section 5.1, CyberOptics agrees to provide OGP with: a. Up to eighty (80) man-hours of support at OGP's facility, at CyberOptics cost, to assist OGP with building up to forty (40) of the Licensed Product units referred to Section 5.7. CyberOptics will be responsible for the costs associated with sending an individual to OGP for this support (i.e., travel, lodging and meal expenses). Such support must be used by OGP by September 30, 2003 and shall be provided at a time requested by OGP and agreed to by CyberOptics, with such agreement not to be unreasonably withheld. b. Up to one hundred (100) man-hours of other support related to manufacturing the Licensed Products. Such manufacturing support must be used by OGP by Septermber 30, 2003, and shall be provided at mutually agreed to times and locations. Notwithstanding any term or provision in this Agreement to the contrary, in the event this manufacturing support is provided by CyberOptics at any location other than CyberOptics facility in Minneapolis, Minnesota, OGP agrees that it shall reimburse CyberOptics for all reasonable, direct costs incurred by CyberOptics associated with travel, lodging and meals incurred during or in the course of providing such manufacturing support. In the event that OGP requires manufacturing support in addition to or in excess of that described herein above, CyberOptics agrees, to the extent reasonably possible, to provide such support at a rate of $200.00 per hour, plus expenses.
Manufacturing Support. 1. In order to facilitate the manufacturing, APN and AOCH shall provide necessary specifications, requirements, operating procedures and technologies to AutoNavi and ADF relating to the manufacturing of the Master on the basis of DB. 2. If AutoNavi or ADF discovers any technical problem in the course of manufacturing, it shall notify APN and AOCH immediately of such problem for the purpose of solving it such problem through consultations. APN and AOCH shall respond promptly and consult with AutoNavi or ADF. 3. AutoNavi and ADF shall not be held liable for the failure to complete the manufacturing in accordance with this Contract due to technical reasons on the part of APN and AOCH.
