MARKET DEVELOPMENT FUND. If Partner is joining the Siebel Alliance Program at a particular Partner Category and Partner Lever for which a Market Development Fund amount is specified under the Siebel Alliance Program Guide, Partner shall commit the amount specified for such Market Development Fund. Siebel will match up to the amount that Partner actually spends on jointly managed marketing programs approved by Siebel. The parties agree to jointly develop a plan for using such Market Development Fund to benefit the parties, Programs, and/or Partner Products.
MARKET DEVELOPMENT FUND. Sprint Spectrum will pay [_________________] per Net Activation to a market development fund to be used for the promotion of the PCS Equipment and Services in the form and mediums determined by the RadioShack and Sprint Spectrum members of the Joint Steering Committee. Unless otherwise decided by the unanimous vote of the RadioShack and Sprint Spectrum members of the JSC all balances remaining in the market development fund in excess of the budget for the following calendar quarter as determined by the RadioShack and Sprint Spectrum members of the JSC at the end of each calendar quarter will be returned to Sprint Spectrum, at Sprint Spectrum's option. Upon termination of the Master Agreement or this Addendum, and after payment of all prior market development binding commitments and obligations made by the RadioShack and Sprint Spectrum members of the JSC, all balances in the market development fund will be returned to Sprint Spectrum.
MARKET DEVELOPMENT FUND. 4.1 Subject to Distributor’s satisfactory account status, , the Seller shall support the Distributor by providing Quarterly Market Development Fund (hereinafter referred to MDF) for its Samsung brand marketing and promotion in Territory such as advertising in magazines or attending exhibitions as follows ;
4.1.1 When the distributor reaches the Minimum Annual Purchase Objective referred to the above Article 3.2, the seller shall provide the distributor with 3% of the Minimum Annual Purchase in the following year as MDF.
4.1.2 When the distributor reaches80% ~ 99% of the Minimum Annual Purchase Objective referred to the above Article 3.2, the seller shall provide the distributor with 2.5% of the Minimum Annual Purchase in the following year as MDF.
4.1.3 When the distributor reaches less than 80% of the Minimum Annual Purchase Objective referred to the above Article 3.2, the seller shall provide the distributor with 2% of the Minimum Annual Purchase in the following year as MDF.
4.1.4 Seller agrees to reimburse Distributor 50% of total cost of the ISC West trade show and will further provide products and on site engineering support for the ASIS show.
MARKET DEVELOPMENT FUND of the Amended and Restated Amendment No. 6 added language at the end of Section 7.1 of the Reseller Agreement. That language is hereby deleted and replaced by the following:
MARKET DEVELOPMENT FUND. A. Gateway shall, subject to Section 3.3(B), provide Reseller with a rebate on advertising and marketing programs equivalent to a sum calculated at:
(i) [redacted] percent of Gateway's revenue per quarter from sales of Gateway Products to Reseller for sale through the Current Retail Stores set out in Exhibit I and Reseller's retail stores and other store in store arrangements ("Retail Channel"); and
(ii) [redacted] percent of Gateway's revenue per quarter from sales of Gateway Products to Reseller for sale otherwise than through the Retail Channel such revenue shall be (1) derived from sales of Gateway Products to Reseller based on COGS plus ▇▇▇▇▇ ▇▇▇▇-up (as defined in Section 5.5 and referred to in Exhibit A) and (2) excluded therefrom (a) any revenue lost from returns of Gateway Products for any reason whatsoever, (b) any credits given to Reseller and (c) any bad debts arising from the sale of the Gateway Products to Reseller.
MARKET DEVELOPMENT FUND. Notwithstanding anything to the contrary in the Siebel Alliance Program Guide, for the [ ] term of the Agreement, Partner will commit to a Market Development Fund (the "MDF") [ ]. For each term of the Agreement after the first annual term, Partner will contribute to a MDF the amount specified in the Siebel Alliance Program Guide for the Partner's then-current category and level of partnership.
MARKET DEVELOPMENT FUND. The following provision is added at the end of Section 7.1 of the Reseller Agreement: “Reseller will earn Marketing Development Funds (MDF) as outlined in Schedule C. The MDF available in any quarter is calculated based upon the sales of Products in Reseller’s immediately preceding fiscal quarter plus any available Rollover Amount (defined below). Marketing activities associated with the MDF will be reviewed quarterly and mutually agreed upon by both parties, such consent not to be unreasonably withheld. Such programs may include, among other things, training, demand-generation, and advertising. Both parties will collaborate in good faith in order to determine appropriate SPIFs, trainings, and other industry events. If any MDF remains unspent or not utilized by Reseller for a particular quarter, such MDF shall continue to rollover for up to two Reseller fiscal quarters before expiring (the “Rollover Amount”), unless agreed in writing by Spyglass to extend. Upon signature of A&R Amendment No. 6, the parties will use commercially reasonable efforts to establish mutually agreeable marketing plans within thirty (30) days of the beginning of each Reseller fiscal quarter that will define how the parties will engage in cooperative activities. MDF activities and related proof of execution (“▇▇▇”) documentation will be specifically identified by Spyglass prior to each Reseller fiscal quarter. Spyglass will respond to Reseller within fifteen (15) days upon receipt of Reseller’s marketing plans. Reseller will provide the agreed ▇▇▇ to Spyglass within forty-five (45) days of the activity completion. For the avoidance of doubt, Reseller shall remain eligible for MDF for up to forty five (45) days after the expiry of any Rollover Amount. Upon receipt of the agreed ▇▇▇, Spyglass will reimburse the Reseller within forty-five (45) days.”
