Market Management. Staffing: Party B shall maintain the necessary professional staff for the operation of the market in order to develop and manage the market effectively. Party A’s staff is strictly forbidden to borrow money from Party B. If it appears, it will be a private act. Party A will not bear any responsibility or loss arising therefrom. Market Management. (i) Regulatory Affairs & Pharmacovigilance (PV) The Parties hereto agree that Principal is the nominal holder of the Marketing Authorizations Distributor shall provide the Principal with assistance and/or information, as might be needed by the Principal in connection with the application and maintenance of the Marketing Authorization of any of the Products in the name of Principal. Such assistance shall refer to, but shall not be limited to, the preparation of answers to any questions from the relevant authorities in the Territory relating to the Products. The Parties agree that Distributor shall be responsible for the compliance of the import, marketing, sale and distribution of the Products with the Applicable Laws. Distributor and its Affiliate shall not use the dossiers or any other kind of registration documentation related to the Products for the purposes other than for maintaining the Marketing Authorization during the Term of this Agreement. This prohibition shall apply to outside and inside the Territory during the Term of the Agreement and thereafter. The breach of the obligation will entitle Principal to request payment of contractual penalty subject to the actual loss within twenty–one (21) Business Days as from receipt of the notice from Principal including an accurate description and proof of the breach of the obligation. Other claims of Principal as to the claim to restrain from further breaches, the claim for the termination of this Agreement and any damages recovered, etc. remain unaffected. Upon expiry or the earlier termination of this Agreement or upon Principal's request, Distributor shall transfer the Marketing Authorizations to Principal or its designee in case Distributor becomes the nominal holder of Marketing Authorizations in the future, or renounce it upon Principal's decision, free of charge. Distributor undertakes to provide the pharmacovigilance services in the Territory on behalf of the Principal (which the latter is requested to send the authorization letter to the relevant Government Authorities), including but not limited to receipt of medical information, receipt and handling of actual adverse events (AE's) and adverse drug reactions (ADRs), following-up and timely report (to local regulatory authorities and global safety database), handling and management of product complaints, PV Escalation Support (to support the dissemination of safety issue to healthcare practitioners and other concerned parties and crisis managemen...
