Marketing Cooperation. Following the Investor Exchange Date, at the request of the Investor, the Company shall use commercially reasonable efforts to make available its executive officers to cooperate with one customary marketed road show to assist the Investor in an offering of its Registrable Securities hereunder, with timing, payment of expenses and the other terms of such cooperation to be mutually agreed by the Company and the Investor; provided, however, that the aggregate number of days of “road show” presentations in connection with an offering of Registrable Securities for each Demand Registration shall not exceed four business days (excluding any applicable travel time).
Marketing Cooperation. FRESENIUS will cooperate with XCYTE to ensure that any references to the XcellerateTM Technology in the Territory in the Field by FRESENIUS, its Affiliates, Sublicensees or each of its respective agents is consistent with XCYTE’s U.S. marketing for the Xcellerate™ Technology to maintain reasonable continuity of promotion and global branding. FRESENIUS, its Affiliates, Sublicensees or each of its respective agents shall not use XCYTE’s name or any adaptation thereof without the prior written consent of XCYTE.
Marketing Cooperation. Pursuant to Section 6(v), the Company will be responsible for all aspects of marketing and administering the operations of the Broadband Network, including but not limited to, soliciting Broadband Network subscribers, administering subscriber accounts, and handling all delinquent payment and collections matters. The Counties may choose to cooperate, as determined by the Counties, each in their sole discretion, in marketing, advertising, and promotional plans, schedules, and materials regarding the Broadband Network.
Marketing Cooperation. For so long as PwCES is in substantial compliance with the Service Levels, Equifax shall cooperate with PwCES, at PwCES's reasonable request and at no charge to PwCES, in marketing functions, tasks and projects addressed by the Services to third parties. Equifax's cooperation shall be subject to reasonable notice by PwCES, Equifax's availability and a lack of more than a minor impact of such cooperation on Equifax's business operations. By way of example and not limitation, and subject to the foregoing limitations, Equifax shall (i) allow and participate in reasonable on-site visits by prospective customers (who have entered into appropriate confidentiality agreements with Equifax) and (ii) cooperate with PwCES in preparing and publishing articles on PwCES's services. Equifax shall refer to PwCES all inquiries and opportunities directed to Equifax, about which Equifax becomes aware, for PwCES to provide functions, tasks and projects addressed by the Services to any third party.
Marketing Cooperation. Without limiting or modifying the provisions of paragraphs 5a and 6a, the parties agree to cooperate in marketing Cards throughout the world and to keep each other informed of their respective marketing efforts. Each party shall promptly notify the other of prospective customers with which it has established contacts and from which it intends to solicit sales so as to avoid duplication of marketing efforts. Each party shall also promptly notify the other of any exclusivity arrangement that would affect the other party's marketing efforts. Each party shall have the right to request attendance at sales meetings arranged by the other party and to request attendance of the other party at sales meetings it arranges. Neither party shall unreasonably refuse such a request. The parties shall establish mutually agreed-to guidelines for the terms of sale of Cards to Banking and Non-Banking customers.
Marketing Cooperation. Licensee and REAL D shall endeavor to mutually agree on the marketing and promotional efforts for the 3D Shows and the REAL D System.
Marketing Cooperation. Licensee and RealD shall endeavor to mutually agree on the marketing and promotional efforts for the 3D Shows and the RealD System. RealD acknowledges that Licensee has no obligation to engage in any specific promotional activities, and that both in-theatre or on-screen advertising will be subject to Licensee’s pre-existing agreement with National CineMedia, L.L.C.
Marketing Cooperation. Neither Party shall make any press announcements or publicize this Agreement, including the contractual relationship under this Agreement, or the Wallet Pay Services in any way without the prior written consent of the other Party.
Marketing Cooperation. The Parties agree that they will conduct cooperative marketing programs such as the following:
(i) joint multimedia programs, including educational programs and workshops aimed at increasing awareness of hearing health care and the benefits of the SYMPHONIX PRODUCTS among dissatisfied hearing instrument users, audiologists and hearing instrument dispensers;
(ii) joint attendance at workshops and scientific conferences and sponsorship of satellite meetings;
(iii) joint attendance at medical / audiological conferences;
(iv) joint sponsorship of educational forums aimed at hearing impaired individuals;
(v) joint market research studies;
(vi) joint creation of patient support groups; and
(vii) joint development of a patient data base that produces cross-referral of patients. The Parties agree that they will develop specific programs designed to actively involve hearing instrument dispensers in the promotion of the SYMPHONIX PRODUCTS. Such programs will be designed to provide incentives to achieve referral of potential patients to clinical implanting sites. Such programs may include sale by the hearing instrument dispenser of the external audio processor (external part of the semi-implantable hearing device), as well as referral fees and fitting fees. The Parties intend that these programs will be initiated in the TERRITORY, i.e. during Q 4 of calendar 1999 in France, during Q 1 of calendar 2000 in Spain, Germany and UK, and as soon as practical in the other countries of the TERRITORY. The Parties intend that such programs will be fully implemented in the United States of America and Canada immediately after initiation of commercial sales. In all other countries such programs will be implemented if reasonably possible to do so. Any claims regarding The Parties' respective products shall be subject to approval by SYMPHONIX for SYMPHONIX PRODUCTS and by SIEMENS for SIEMENS PRODUCTS.
Marketing Cooperation. Each party will create a link to the other party's web site as follows:
A. Oracle will create a link to thinWEB's web site from the Oracle JDeveloper Partner page located at xxxx://xxx.xxxxxx.xxx/tools/jdeveloper; and
B. Consistent with Oracle's policies on web site linking thinWEB will create a link on its web site to the Oracle JDeveloper web site to promote the Oracle Program.
