Common use of Mask Proprietary Rights Clause in Contracts

Mask Proprietary Rights. Except for the license granted under Section 4.1(B), RFM shall own all Intellectual Property Rights in and to the Mask Tooling Sets. Subject to the foregoing, ST shall own title to the tangible Mask Tooling Sets, provided that such Mask Tooling Sets shall be used solely for the benefit of RFM in accordance with this Agreement. The Mask Tooling Set shall be treated as RFM’s Confidential Information in accordance with Article 12. ST agrees that the Mask Tooling Set will at all times contain RFM’s trademark, mask work, and copyright notices. Upon expiration or termination of this Agreement (subject only to any ST right to fulfill purchase orders pursuant to Section 9.4(B), and in such case, upon expiration of such rights), ST shall destroy the Mask Tooling Sets and certify in writing (by an authorized officer of ST) that the Mask Tooling Sets have been destroyed pursuant to this Section 6.2.
