Master Agreement Term and Termination. 38.1 This Master Agreement shall start on the Master Agreement Start Date and continue for the Master Agreement Term. 38.2 Either Party may terminate this Master Agreement immediately by giving the other Party notice in writing if: (a) the other Party commits a material breach of this Master Agreement and the breach is not capable of being remedied; (b) the other Party commits a material breach of this Master Agreement, the breach is capable of being remedied and the other Party fails to remedy the breach within thirty (30) days after receiving written notice from the terminating Party requiring that the breach be remedied; or (c) the other Party suffers an Insolvency Event. 38.3 Termination or expiry of the Master Agreement shall not affect: (a) the accrued rights and liabilities of either Party; or (b) any Contracts in force at the date of termination or expiry of the Master Agreement. This Clause 38.3(b) does not affect the Supplier's right to terminate any Contract or Contracts under Clause 17.4.‌ Schedule 1‌ 1.
