Common use of Master Servicer Exchange Act Reporting Requirements Clause in Contracts

Master Servicer Exchange Act Reporting Requirements. Notwithstanding any other provision of this Agreement, to the extent that, following the Closing Date, the contents of Forms 8-K, 10-D, 10-K or other Forms required by the Exchange Act and the rules and regulations of the Commission, or the time by which such Forms are required to be filed, differ from the provisions of this Agreement, the Master Servicer hereby agrees that it shall reasonably cooperate to amend the provisions of this Agreement (in accordance with Section 10.05) in order to comply with such amended reporting requirements. Any such amendment to this Agreement may result in the reduction or increase of the reports filed under the Exchange Act. Notwithstanding the foregoing, the Master Servicer shall not be obligated to enter into any amendment pursuant to this Section that adversely affects its obligations and immunities under this Agreement.
