Match Separate Returns. Match shall prepare and file or cause to be prepared and filed all Match Separate Returns for all taxable periods ending on or after the date hereof. Match shall pay, or cause to be paid, any and all Taxes due or required to be paid with respect to or required to be reported on any Match Separate Return (including any increase in such Tax Liabilities attributable to a Final Determination).
