Common use of Material Adverse Condition Clause in Contracts

Material Adverse Condition. A condition, event or circumstance which would materially restrict, limit, increase the cost or burden of or otherwise materially adversely affect or materially impair the right of Buyer to the ownership, use, control, enjoyment or operation of the Station or the proceeds therefrom; provided, however, that any condition which requires that the Station be operated in accordance with a condition similar to those contained in the present FCC Licenses issued for operation of the Station shall not be deemed a Material Adverse Condition.

A condition, event or circumstance which would materially restrict, limit, increase the cost or burden of or otherwise materially adversely affect or materially impair the right of Buyer the Transferee to the ownership, use, control, enjoyment or operation of the Station Station(s) it is acquiring or the proceeds therefromthere from; provided, however, that any condition which requires that the Station a radio station be operated in accordance with a condition similar to those contained in the present FCC Licenses licenses issued for operation of the Station station shall not be deemed a Material Adverse Condition.

A condition, event or circumstance condition which would materially restrict, limit, increase the cost or burden of or otherwise materially adversely affect or materially impair the right of Buyer to the ownership, use, control, enjoyment or operation of any of the Station Sale Assets or the proceeds therefromStation, taken as a whole; provided, however, that any condition which requires that the Station be operated in accordance with a condition similar to those contained in the present FCC Licenses issued for operation as of the Station date hereof shall not be deemed a Material Adverse Condition.
