Material Adverse Effect Certificate. An officer’s certificate, signed by an Executive Officer of the Borrower, certifying that to such officer’s best knowledge, since December 31, 2021, there has not occurred a Material Adverse Effect except as previously disclosed in filings with the Securities & Exchange Commission by the Borrower prior to the Effective Date (but excluding any risk factors, forward-looking disclosure and any other disclosures that are cautionary, predictive or forward-looking in nature).
