Common use of Material Breach of Warranty Clause in Contracts

Material Breach of Warranty. Any material breach of any representation and warranty made by the TJPA under Section 11.1, if such breach is not cured within the earlier of: (x) fifteen (15) days after Buyer gives written notice to Buyer, or (y) the Closing Date. If the TJPA cures its breach, the TJPA shall give written notice to Buyer promptly that the breach has been cured. If the breach cannot reasonably be cured within the period specified, then no Event of Default by the TJPA under this Agreement shall arise if the TJPA commences to cure the breach within the period specified and diligently and in good faith continues to cure the breach; provided that in no event shall the cure period extend beyond the Closing Date.
