Material Breach Threshold Adjustment. If, pursuant to Section 4.2(c), Buyer enforces specific performance of Seller’s obligations to sell the Assets to Buyer by requiring Seller to cure an applicable material breach, then the Assets Purchase Price shall be adjusted upward at the Closing in the amount of Two Million Five Hundred Thousand and No/100 Dollars (US $2,500,000.00).
