Common use of Material Contact Clause in Contracts

Material Contact. “Material Contact” means (i) any personal or direct contact the Executive had with any Customer, (ii) the Executive’s supervision of others who had direct or personal contact with any Customer or (iii) the supervision, by a person subject to the Executive’s supervision, of others who had personal contact with any Customer, in each case for the purpose of selling or offering for sale any product or service.

Material Contact. The term “Material Contact” means (i) shall mean any personal interaction between Executive and any Business Entity that takes place in an effort to establish, maintain, or direct contact the Executive had with further a business relationship on behalf of SunTrust or any Customer, (ii) the Executive’s supervision of others who had direct or personal contact with any Customer or (iii) the supervision, by a person subject to the Executive’s supervision, of others who had personal contact with any Customer, in each case for the purpose of selling or offering for sale any product or serviceSunTrust Affiliate.

Material Contact. “Material Contact” means (i) any personal communication between Executive and a Customer or direct contact Prospect, either oral, in writing, or electronic, wherein Executive either discussed, provided, offered to provide, or assisted in providing any service or product offered by the Corporation, the Bank or any Affiliate, to that Customer or Prospect, or to a Person related to that Customer or Prospect, or wherein Executive had with any Customer, (ii) the or someone else at Executive’s supervision direction offered a Competitive Service of others who had direct Product or personal contact with any otherwise solicited a Customer or (iii) Prospect to end its relationship with the supervisionCorporation, by a person subject to the Executive’s supervisionBank or an Affiliate or move some or all of its business away from the Corporation, of others who had personal contact with any Customer, in each case for the purpose of selling Bank or offering for sale any product or serviceAffiliate.
