Material Contracts; No Defaults. (a) Schedule 3.15 contains a true and complete list and description of ------------- all material contracts, agreements, understandings, arrangements and commitments, written or oral ("Contracts"), of the Company by which it or its properties, rights or assets are bound. True and complete copies of such written Contracts and true and complete summaries of such oral Contracts have been delivered to Buyer heretofore. For the purposes of this subsection (a), "material" means any contract, agreement, understanding, arrangement or commitment that (i) involves performance by any party more than 90 days from the date hereof, (ii) involves payments or receipts by the Company in excess of $100,000, (iii) involves capital expenditures in excess of $25,000 or (iv) otherwise materially affects the Company.
