Material Delays Clause Samples
The Material Delays clause defines how significant delays affecting the performance or completion of contractual obligations are managed. Typically, it outlines what constitutes a material delay, the process for notifying the other party, and any remedies or extensions of time that may be available. For example, if a supplier cannot deliver goods on schedule due to unforeseen events, this clause would specify the steps to address the delay and any consequences. Its core function is to allocate risk and provide a clear framework for handling substantial disruptions, thereby minimizing disputes and ensuring both parties understand their rights and responsibilities in the event of major delays.

Material Delays. If required material(s) are unavailable at the time of assembly, LM Aero will provide an estimated delivery date. If the estimated material delivery date creates an unreasonable delay as determined by the 309 CMXG, LM Aero will retrieve and store the asset until all required material is available unless otherwise mutually agreed to by the parties. If the asset is removed from work, the work order will be closed and LM Aero will be billed for the amount of labor hours expended. Upon receipt of all required material, LM Aero will notify 309 CMXG that the asset is ready for induction. The asset will be scheduled for induction under a new work order. The 309 CMXG metrics for RTAT may be adjusted, as appropriate, to reflect impacts caused by material delays.
