Common use of Material Inducement Clause in Contracts

Material Inducement. For the purposes of this Section 4.8, references to the “Company” shall include the Company Group. Employee understands and hereby acknowledges that Employee’s agreement to be bound by the protective covenants set forth in this Article IV is a material inducement for the Company entering into this Agreement and agreeing to pay Employee the compensation and benefits set forth herein and to provide Employee the Confidential Information, and that the Company has made substantial investments to develop the business interests, goodwill and Confidential Information of the Company and the Company Group. Further, Employee understands the foregoing restrictions may limit his ability to engage in certain businesses during the period of time provided for, but acknowledges that Employee will receive sufficiently high remuneration and other benefits under this Agreement to justify such restriction and Employee represents and warrants that the knowledge, skills and abilities he possesses as of the Effective Date of this Agreement are sufficient to permit him, in the event of termination of his employment with the Company, to earn a livelihood satisfactory to himself without violating any provision of this Article IV. Nothing in this Article IV shall confer upon Employee any right to continue in the employ of the Company or shall interfere with or restrict in any way the rights of the Company, which, subject to the terms of this Agreement, are hereby reserved, to discharge Employee at any time for any reason whatsoever, with or without cause.
