Material Information; Full Disclosure. This Agreement and any other certificate, document, agreement or information furnished (including, without limitation, any schedule hereto) or to be furnished pursuant to this Agreement by the Purchaser to the Shareholder does not contain and will not contain any untrue statement of a material fact or omits or will omit to state a material fact necessary to make any statement herein or therein not misleading.
