Common use of MATERIAL INTERESTS Clause in Contracts

MATERIAL INTERESTS. 11.1. Except as specified in Clause 4.1(d) of this Agreement, the Manager may not effect transactions for the Portfolio of a Series in which it has directly or indirectly a material interest or any relationship with another party which may involve a conflict of the Manager’s duty to the Company and/or the Client or any Series without prior reference to the Company, other than transactions in units in unit trusts managed by Xxxxxxx Xxxxxxx & Co. Limited, an Associate of the Manager, in accordance with the provisions of sub-clause 12.2 of this Agreement. 11.2. For the purposes of sub-clause 12.1 of this Agreement the Manager may not effect transactions for the Portfolio of a Series in units in unit trusts managed by Xxxxxxx Xxxxxxx & Co. Limited unless the Manager shall first have been issued with an order of exemption by the SEC in accordance with sub-section 17(a)(1)(b) of the 1940 Act.
