Material Subsidiary Stock. The Company will not, and will not permit any of its Material Subsidiaries to, convey, transfer or otherwise dispose of (whether by or pursuant to merger, consolidation or any other arrangement) any capital stock of any of its Material Subsidiaries (other than to the Company or to a Wholly Owned Subsidiary of the Company); provided that nothing in this Section 7.02(b) shall prohibit any transaction expressly permitted under Section 7.02(c).
