Any Subsidiary of the Parent Company which is a guarantor of or otherwise liable with respect to any other Unsecured Debt of Parent Company or any of its Subsidiaries (other than any of such Subsidiaries that are not organized under the laws of any political subdivision of the United States and which are not borrowers, guarantors or otherwise liable with respect to any Unsecured Debt of Parent Company or any of its Subsidiaries which are organized under the laws of any political subdivision of the United States).
