Common use of Materiality Qualifiers Clause in Contracts

Materiality Qualifiers. For purposes of calculating the amount of Damages arising out of or relating to any inaccuracy in or breach of any representation or warranty in Section 4.1 or Section 4.2, any Materiality Qualifiers in such representation or warranty will be disregarded; provided that the Materiality Qualifiers in the defined terms “Material Adverse Effect,” and “Material Contracts,” and in Section 4.1(d), Section 4.1(e) and Section 4.1(o) will be not be disregarded.

For purposes of calculating (i) determining the amount of Damages arising out of, relating to or resulting from any breach of or relating to any inaccuracy in any representation or warranty in Section 3.1 or Section 3.2, and (ii) determining whether a breach of any representation or warranty in Section 4.1 3.1 or Section 4.23.2 has occurred, any all Materiality Qualifiers in such representation or warranty will be disregarded; provided that the Materiality Qualifiers in the defined terms “Material Adverse Effect,” disregarded and “Material Contracts,” each such representation and in Section 4.1(d), Section 4.1(e) and Section 4.1(o) warranty will be not be disregardedread and interpreted without regard to any Materiality Qualifier.
