Materials and Logistics Clause Samples
The Materials and Logistics clause defines the responsibilities and procedures related to the supply, delivery, and management of materials and logistical support necessary for a project or contract. It typically outlines which party is responsible for procuring materials, how and when materials should be delivered to the worksite, and the standards for storage and handling. This clause ensures that all parties understand their obligations regarding the timely and proper provision of resources, thereby minimizing delays and disputes related to material shortages or logistical failures.
Materials and Logistics. Company shall have the right, in Company’s sole discretion by giving written notice to Contractor (a) at least thirty (30) days in advance, to supply proppant logistics, and (b) at least forty-five (45) days in advance, to supply all or a portion of the friction reducer, high viscosity friction reducer and surfactant (collectively, the “Company Provided Materials”) to Contractor for purposes of Contractor’s performance of the Services. As of the Effective Date, Company elects to provide high viscosity friction reducer, friction reducer, diesel fuel and trucking, surfactant, proppant logistics and proppant. At Company’s election, Company reserves the right to supply any other materials or logistics requirements in furtherance of the performance of the Services. If Company desires to have Contractor provide Company Provided Materials that are being supplied by Company as of the Effective Date or thereafter, then the change order procedure set forth in Article 3(c) above shall apply.
Materials and Logistics. Company shall have the right, in Company’s sole discretion and upon at least ninety (90) days’ prior written notice to Contractor, to supply all or a portion of the proppant, proppant trucking, coiled tubing services, friction reducer, high viscosity friction reducer, surfactant, and diesel fuel and trucking (collectively, the “Company Provided Materials”) to Contractor for purposes of Contractor’s performance of the Services, as well as the right to have Contractor provide such materials. In the event that Company exercises its right to supply any of the Company Provided Materials, Contractor shall make corresponding equitable adjustments to the unit prices contained in the then-current and each subsequent Net Price Book (and not simply the elimination of the applicable line item(s)). As of the Effective Date, Company elects to provide all high viscosity friction reducer, friction reducer, surfactant and proppant. At Company’s election, Company reserves the right to supply any other materials in furtherance of the performance of the Services; provided, however, that Company’s right to supply any other materials in furtherance of the performance of the Services shall not apply if and to the extent that Contractor is expressly required to purchase any quantity of any such materials under any agreements that have been assigned by Company or Pioneer Natural Resources Pumping Services LLC to ProPetro Holding Corp. pursuant to that Purchase and Sale Agreement by and among Company, Pioneer Natural Resources Pumping Services LLC and ProPetro Holding Corp., dated November 12, 2018 (the “PSA”), in each case per the express terms of such agreements as of the date of their assignment by Company (and not as they may be later amended or otherwise modified).

Additionally, as of the Execution Date, Company is supplying proppant logistics for the Fleets identified as PPS1 and PPS5, and Company has notified Contractor that it has elected to supply proppant logistics for the Fleet identified as PPS2, effective as of April 16, 2022, and the Fleet identified as PPS3, effective as of April 23, 2022. At Company’s election, Company reserves the right to supply any other materials or logistics requirements in furtherance of the performance of the Services. If Company desires to have Contractor resume responsibility for providing any Company Provided Materials that are being supplied by Company as of the Execution Date or thereafter, then the change order procedure set forth in Article 3(c) above shall apply.
