Materials Provided. To the knowledge of Reef, all materials provided by Reef or any of its affiliates to you, including materials provided to you in connection with your due diligence investigation relating to the Offering, were materially accurate as of the date provided.
Materials Provided. Materials provided by Supplier must be new and strictly of the type, manufacturer and quality specified by CenturyLink. Supplier will be responsible for the security of all materials received by Supplier, whether or not received from CenturyLink and whether located on the premises of Supplier, CenturyLink or otherwise. Supplier will be responsible for obtaining and providing to its employees and Subcontractors training on the proper use and installation of all materials, whether supplied by Supplier or CenturyLink.
Materials Provided. The cost or working materials (manuscripts, paper, folders, etc.) and photocopying must be the responsibility of the Engager.
Materials Provided. 4.1 All materials provided for the Project under this Agreement (the “Materials”) shall be listed on Exhibit C, which shall include the name and amount of the Materials, and the party providing such Materials (the “Provider”). If no Materials are being provided, Exhibit C shall indicate “none.”
4.2 All Materials shall remain the property of the Provider and will be used by the receiving party (the “Recipient”) solely for the Project. The Materials will be returned to the Provider or destroyed by the Recipient, as requested by Provider, at the end of the Term of this Agreement or upon early termination of this Agreement.
4.3 The Materials shall be used with prudence and appropriate caution in any experimental work. THE MATERIALS ARE PROVIDED WITHOUT WARRANTY OF MERCHANTABILITY OR FITNESS FOR ANY PARTICULAR PURPOSE OR ANY OTHER WARRANTY, EXPRESS OR IMPLIED. Recipient agrees to defend and indemnify the Provider, its trustees, officers, employees and agents from any and all claims and damages in any way arising from the acquisition, use, storage or disposal of the Materials by Recipient, unless such claim is solely due to negligence on the part of the Provider.
4.4 Subject to the University limitations set forth in Section 1.2, the Materials will be used in compliance with all applicable statutes and regulations, including the National Institutes of Health guidelines on the use of animals and recombinant DNA. The Materials may not be used for in vivo testing in human subjects. Materials derived from human donors may not be transferred with any individual donor-identifying information.
4.5 No option, license, or conveyance of rights, express or implied, is granted by one party to the other party in connection with any Materials provided under this Agreement, except the right to use the Materials strictly in accordance with the terms of this Agreement.

Materials Provided. The Plateletworks Kit includes agonist tubes, baseline tubes and a % Aggregation/Inhibition chart. A Plateletworks Aggregation/Inhibition Calculation Wheel (584) is also available upon request.

4.2 All Materials shall remain the property of Miromatrix and will be used by Mayo solely for the Project. The Materials shall be returned to Miromatrix or destroyed by Mayo, as requested by Miromatrix, at the end of the Term of this Agreement or upon early termination of this Agreement.

Materials Provided. All materials provided to Purchaser by Seller either prior to the Effective Date or during the term hereof, including without limitation all items on the Due Diligence Checklist attached hereto as Exhibit D, are true, accurate and complete in all material respects. Notwithstanding anything else to the contrary herein, any reference in this Agreement to "knowledge," of Seller shall be deemed to mean the actual knowledge of Xxxxxxx X. Xxxxx, Xx., and Xxxx X. Xxxx, provided, however, that such individuals shall make due inquiry of any regional managers and executive directors of the Facilities no later than ten (10) days after the Effective Date to confirm the accuracy of the representations and warranties made hereunder (to the extent relevant to such inquiry) and disclose any relevant items to Purchaser. If Purchaser, during the term of this Agreement, gains actual knowledge of any breach of any material representation or warranty made by Seller hereunder and Purchaser fails to disclose such breach to Seller prior to the Closing to which such breach relates (or the final Closing Date if the breach is not related to a single Facility), then Purchaser may not pursue damages for such breach against Seller after such Closing. Purchaser shall be deemed to have actual knowledge of any information explicitly disclosed in any Schedule or in Seller's response to any due diligence request made by Purchaser; provided, however, that the substance of any information disclosed is such that a reasonable person would discern from the information disclosed that a fact or condition exists that would give rise to a breach.
