(b) Upon any Lender’s making a claim for compensation under Section 3.01 or 3.04, or upon a Lender’s giving a notice under Section 3.02, the Borrower may replace such Lender in accordance with Section 10.1611.16.

Matters Applicable to All Requests for Compensation. (a) A certificate of the Administrative Agent or any Lender claiming compensation under this Article III and setting forth the additional amount or amounts to be paid to it hereunder shall be conclusive in the absence of manifest error. In determining such amount, the Administrative Agent or such Lender may use any reasonable averaging and attribution methods. (b) Upon any Lender’s making a claim for compensation under Section 3.01 or 3.04, the Borrower may replace such Lender in accordance with Section 10.1611.15.
