Matters Reserved to Required Lenders. Absent the prior approval of the Required Lenders, Agent shall not waive or amend any financial covenant set forth in Article VII hereof or approve any acquisition for which approval is necessary under the definition of Permitted Acquisitions set forth in Article I hereof.
