Maximum Indemnification Expenses. During the period beginning January 1, 2010 to and including the Maturity Date, Company shall not pay or accrue costs and expenses related to its indemnification or defense of current and former Officers in an amount in excess of $11,500,000 in the aggregate, determined as of the end of each month.
