Common use of Maximum Number of Demand Registrations Clause in Contracts

Maximum Number of Demand Registrations. The Company shall not be obligated to effect more than three (3) such registrations pursuant to this Section 2.3. A registration will count for this purpose only if (i) all Registrable Securities requested to be registered are registered, and (ii) it is closed, or withdrawn at the request of the Initiating Holders (other than as a result of a material adverse change to the Company).

Maximum Number of Demand Registrations. The Company shall not be obligated to effect more than only three (3) such registrations pursuant to this Section 2.3. 2.1 with respect to any Request Notice initiated by the Ordinary Investor, only three (3) such registrations pursuant to this Section 2.1 with respect to any Request Notice initiated by the Series A registration will count for Investors and only three (3) such registrations pursuant to this purpose only if (i) all Registrable Securities requested Section 2.1 with respect to be registered are registered, and (ii) it is closed, or withdrawn at any Request Notice initiated by the request of the Initiating Holders (other than as a result of a material adverse change to the Company)Series B Investors.

A For purposes of calculating the number of registrations effected under this subsection 2.2(c), a registration will count for this purpose shall only if be deemed to have been effected if: (i) the registration statement filed by the Company pursuant to Section 2.2 is declared effective by the SEC and the Company thereafter complies in all material respects with its obligations under Section 2.5 with respect to such registration, and (ii) all Registrable Securities requested to be registered are pursuant to Section 2.2(a) have been registered, and (ii) it is closed, or withdrawn at the request of the Initiating Holders (other than as a result of a material adverse change to the Company).

The Company shall not be obligated to effect more than only three (3) such registrations pursuant to this Section 2.34.2 (including any shelf registrations requested under this Section 4.2). A Registration shall be effected for purposes of this Section 4.2(c) when and if a registration will count for this purpose only if (i) all Registrable statement is declared effective by the Securities requested to be registered are registered, and (ii) it is closed, Exchange Commission and the distribution of securities thereunder has been completed without the occurrence of any stop order or withdrawn at proceeding relating thereto suspending the request effectiveness of the Initiating Holders (other than as a result of a material adverse change to the Company)Registration.
