Maximum Principal Amount. The maximum indebtedness secured by this Security Instrument shall not exceed ___________________________ Dollars ($ ____________________).
Maximum Principal Amount. The Note is hereby amended by deleting all references therein to “$6,884,588”, and replacing them with “$7,884,588”.
Maximum Principal Amount. In the event that the outstanding principal balance of the Loan plus the Letter of Credit Usage exceeds the Maximum Principal Amount at any time, Borrower shall pay the amount of such excess to Bank, without notice or demand, and any amount not so paid shall bear interest at the Default Rate until paid. Borrower's obligation to pay principal pursuant to this Section 2.2 shall include (but not be limited to) an obligation to pay principal in an amount required to reduce the outstanding principal balance of the Loan plus the Letter of Credit Usage to an amount equal to or less than Ten Million Dollars ($10,000,000) at all times. This is an absolute obligation to pay to Bank the amount of the unpaid principal balance of the Loan plus the Letter of Credit Usage in excess of said Maximum Principal Amount, regardless of the cause of such excess.
Maximum Principal Amount. The Mortgage, as amended by this Second Amendment, secures future advances and future obligations at any time outstanding up to a maximum principal amount of $170,000,000.
Maximum Principal Amount. Any and all references in the Loan Documents to the maximum principal amount of the Loan are hereby amended to mean $100,000,000.00.
Maximum Principal Amount. The maximum principal amount secured by this Mortgage in the State of New Jersey upon recordation or upon any contingency that may be secured hereby at any time hereafter is $110,640,000.00, plus all advances made pursuant to any provisions of the Mortgage; provided that in no event shall any Mortgagee be obligated to advance in excess of the stated principal amount of the Note evidencing the indebtedness secured hereby.
Maximum Principal Amount. The Maximum Principal Amount under the Note, as stated in the Second Amended and Restated Secured Cognovit Promissory Note is hereby increased from Eight Million Seven Hundred Fifty Eight Thousand Six Hundred Twenty Eight and 29/100 Dollars ($8,758,628.89) to Fourteen Million One Hundred Thirty Nine Thousand One Hundred Fifty Three and 54/100 Dollars ($14,139,153.54), constituting an increase of $4,600,000 in the Loan Amount of $9,539,153.54 outstanding as of November 30, 2023 (prior to such increase).
Maximum Principal Amount. The maximum principal balance of the Note ------------------------ is hereby increased from One Million Five Hundred Thousand Dollars ($1,500,000) to Two Million Five Hundred Thousand Dollars ($2,500,000).
Maximum Principal Amount. Except as otherwise provided in the Indenture, the Series A Notes shall be limited to the aggregate Relevant Principal Amount set forth in Schedule 1.3 hereto, and the Series A-1 Notes and the Series A-2 Notes shall be limited to the respective Relevant Principal Amounts and shall have the respective Stated Maturities set forth in Schedule 1.4 hereto.
Maximum Principal Amount. (a) NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN OR IN ANY OTHER LOAN DOCUMENT, BUT SUBJECT TO THE LIMITATIONS SET FORTH IN OTHER PROVISIONS OF THIS AGREEMENT, THE PRINCIPAL OF BORROWER'S LIABILITIES SHALL NOT EXCEED THE FOLLOWING AMOUNTS (THE "MAXIMUM PRINCIPAL AMOUNT"), NOR SHALL THE PRINCIPAL OUTSTANDING UNDER EACH OF THE NOTES EXCEED THE SUM OF THE APPLICABLE MAXIMUM AMOUNT SET OUT BELOW:
(i) THE UNPAID PRINCIPAL BALANCE OF THE TRANCHE A LOAN SHALL NOT EXCEED, AT ANY TIME, AN AMOUNT EQUAL TO $10,000,000 (THE "TRANCHE A MAXIMUM PRINCIPAL AMOUNT);
(ii) THE UNPAID PRINCIPAL BALANCE OF THE TRANCHE B LOAN SHALL BE AN AMOUNT EQUAL TO $31,000,000 (THE "TRANCHE B MAXIMUM PRINCIPAL AMOUNT");
(iii) THE UNPAID PRINCIPAL BALANCE OF THE TRANCHE C LOAN SHALL BE AN AMOUNT EQUAL TO $12,000,000 (THE "TRANCHE C MAXIMUM PRINCIPAL AMOUNT"); AND
(iv) THE TRANCHE A MAXIMUM PRINCIPAL AMOUNT, THE TRANCHE B MAXIMUM PRINCIPAL AMOUNT AND THE TRANCHE C MAXIMUM PRINCIPAL AMOUNT, IF APPLICABLE, AND LENDERS' COMMITMENTS SHALL BE REDUCED BY MANDATORY PREPAYMENTS OF PRINCIPAL IN ACCORDANCE WITH SECTION 3.3. THE UNPAID PRINCIPAL BALANCE PLUS ALL ACCRUED BUT UNPAID INTEREST, FEES AND ALL OTHER SECURED OBLIGATIONS SHALL BE DUE AND PAYABLE IN FULL ON THE MATURITY DATE.
(b) IN THE EVENT THAT THE OUTSTANDING PRINCIPAL BALANCE OF THE TRANCHE A LOAN EXCEEDS THE MAXIMUM PRINCIPAL AMOUNT DETERMINED IN ACCORDANCE WITH SECTION 2.2(a)(i), BORROWER SHALL PAY THE AMOUNT OF SUCH EXCESS TO AGENT, AS A REDUCTION IN THE OUTSTANDING PRINCIPAL BALANCE OF THE TRANCHE A LOAN, FOR THE BENEFIT OF BOS-EDINBURGH, WITHOUT NOTICE OR DEMAND, AND ANY AMOUNT NOT SO PAID SHALL BEAR INTEREST AT THE DEFAULT RATE UNTIL PAID. THIS IS AN ABSOLUTE OBLIGATION TO PAY TO AGENT THE AMOUNT OF THE UNPAID PRINCIPAL BALANCE OF THE TRANCHE A LOAN EQUAL TO THE AMOUNT BY WHICH THE SUM OF THE OUTSTANDING PRINCIPAL BALANCE OF THE TRANCHE A LOAN EXCEEDS THE MAXIMUM PRINCIPAL AMOUNT, REGARDLESS OF THE CAUSE OF SUCH EXCESS.
