Maximum Rate; Disclosure, etc. Notwithstanding any provision to the contrary contained in this Agreement, the Default Rate, Non-default Rate, Termination Rate and any other rate of interest payable under this Agreement shall not exceed the maximum interest rate, if any, that at any time or from time to time may be contracted for, taken, reserved, charged, or received under applicable law. Any applicable interest rate expressed as an annual rate of interest shall, for the purposes of compliance with applicable law, be equivalent to such interest rate multiplied by the actual number of days in the calendar year in which the same is to be determined and divided by 365/366, as the case may be.
