Maximum Senior Secured Leverage and Maximum Total Leverage. The Borrower’s (x) Senior Secured Leverage Ratio as of the Closing Date after giving effect to the Transactions for the four-quarter period ending no more than 45 days prior to the Closing Date shall not exceed, on a Pro Forma Basis, 2.00:1.00 and (y) Total Leverage Ratio as of the Closing Date after giving effect to the Transactions for the four-quarter period ending no more than 45 days prior to the Closing Date shall not exceed, on a Pro Forma Basis, 6.00:1.00.
