Common use of Maximum Unsecured Debt to Total Unencumbered Asset Value Clause in Contracts

Maximum Unsecured Debt to Total Unencumbered Asset Value. Subject to any payments made pursuant to Section 2.06(b), not permit at any timemaintain at the end of each fiscal quarter of the Parent Guarantor, Unsecured Debt to beof not greater than 60.0% of the Total Unencumbered Asset Value at such time, provided that the Parent Guarantor shall have the right to maintain Unsecured Debt of greater than 60.0% but less than or equal to 65.0% of the Total Unencumbered Asset Value for up to four consecutive fiscal quarters of the Parent Guarantor during the term of the Facility following any acquisition of one or more Assets; provided further that this Section 5.04(b)(i) shall no longer apply from and after the date on which the Parent Guarantor achieves a Debt Rating of at least BBB+ / Baa1 and a Total Asset Value of at least $35,000,000,000.
