MDR. The MDR rate payable by Merchant to SVSB as referred to in Clause 6.2 is 2%.
MDR. Distributor shall abide by the European Union’s Medical Device Regulation 2017/745 (“MDR”), including but not limited to Article 13General obligations of importers” and Article 14 “General obligations of distributors.” To the extent that there is a conflict between the terms of this Agreement and the terms of the MDR, the terms of the MDR prevail.
MDR. (a) The Merchant shall pay to SVSB the MDR as set out in Item 3 of Schedule 1 for each the Payment Gateway transaction effective from the Go Live Date. The MDR will be deducted from the Transaction Value payable to the Merchant in accordance with Clause 6.1 hereinabove. (b) SVSB reserves the right to review and vary the MDR at any time from time to time and any changes thereto by giving prior written notice to the Merchant. Such changes shall be effective on the date specified by SVSB upon written notification to the Merchant. (c) All fees and charges pursuant to this Agreement, including the MDR, are exclusive of any applicable and payable taxes. Where any tax is applicable to any supplies made or provided by SVSB under this Agreement, SVSB is entitled to charge the applicable tax on the payment.
MDR. It shall be Customer’s sole responsibility to determine the fitness of the Deliverables and Services for its particular purposes. It shall also be Customer’s sole responsibility to avoid defective design or workmanship of any products manufactured and placed on the market by Customer using Deliverables or Services through comprehensive testing prior to, and quality control during, production. The Customer shall indemnify and hold harmless EOS from all third-party claims caused by Customer’s failure to consummate the foregoing responsibilities. With respect to Consulting Services EOS shall be responsible for providing the consultancy, training or workshop in accordance with the Contract but not for any parts built based on the Service or other results of the Service.
